Sole Proprietorship: Trade License from City Corporation / Municipality only — no RJSC filing required.   Private Limited Company: Min. 2 shareholders, 2 directors; max 50 shareholders.   One Person Company (OPC): Introduced via Companies (2nd Amendment) Act 2020; min. paid-up capital ৳25 Lakh; max ৳5 Crore.
Corporate Tax Rate: 27.5% (listed companies: 22.5%) — reverts to 30% if transactions not conducted through banking channels (NBR, FY 2025-26).
Branch & Liaison Offices: Require BIDA approval, minimum inward remittance of USD 50,000 within 2 months, and quarterly reporting to BIDA & Bangladesh Bank.
