Post-registration changes must be filed with the RJSC using prescribed forms within legally mandated timeframes:

  • Change of Company Name: Requires Special Resolution at an EGM, RJSC name clearance for the new name, and filing of amended MOA/AOA. Processing: 15–30 working days.
  • Change of Directors: File Form IX (new director consent) and Form XII (updated director list) within 30 days. Resigning directors must file Form X.
  • Share Transfer: Execute a Share Transfer Deed, update the Register of Members, and file with RJSC. Stamp duty is payable on the transfer value.
  • Change of Registered Office: File Form III within 21 days. If moving within Sylhet District, it is simpler; moving to a different district may require a Special Resolution.
  • Alteration of MOA/AOA: Requires Special Resolution and RJSC filing under Sections 12–16 and Section 22 of the Companies Act 1994.
